Warner Bros. Discovery has asked shareholders to reject the hostile offer of $108.4 billion from Paramount Skydance, arguing that it presents 'significant risks and costs' for the company. Instead, Warner Bros. highlighted that Netflix's previous offer, valued at $82.7 billion, provides better value. Netflix agreed to acquire HBO and Warner Bros.' streaming businesses for $27.75 per share. Paramount Skydance's CEO, David Ellison, described his offer as 'superior,' but Warner Bros. assessed that both offers present equal regulatory risks. Warner Bros. also expressed concerns about Paramount Skydance's $40.65 billion capital commitment, mentioning the lack of a guarantee from the Ellison family. Additionally, a financial partner of Paramount, Affinity Partners, announced that it has withdrawn from the offer, citing significant changes in investment dynamics. Warner Bros. concluded that Netflix has a stronger financial position, with a market capitalization of over $400 billion, compared to Paramount Skydance, which has a valuation of $15 billion. Although Warner Bros. recommended rejecting Paramount's offer, shareholders may still decide to accept the offer for the entire company.
