Transilvania Investments Alliance (TIA) signed an agreement on October 5, 2026, to sell its majority stakes in Independența SA Sibiu and Mecanica Codlea SA to Transilvania Construcții SA. The transactions are part of TIA’s portfolio restructuring strategy and have not yet been completed.

The agreement provides for the transfer of 1,530,636 shares in Independența Sibiu, representing 53.3008% of the company’s share capital and voting rights. TIA will also sell 60,156,150 shares in Mecanica Codlea, equivalent to an 81.0720% stake.

The two transactions are interdependent, and the transfer of ownership is conditional upon the fulfillment of certain deadlines and conditions precedent. The companies have not disclosed the value of the transactions or the price per share.

TIA states that Transilvania Construcții is not an affiliated entity. The sale is part of the exit strategy approved by shareholders on October 7, 2025, within the 2024–2028 Strategy, which aims to realign the portfolio with medium- and long-term investment objectives. The company will inform investors when the share transfer has been completed.
